The client explicitly waives its own standard terms and conditions, even if these were drawn up after these standard terms and conditions of sale. In order to be valid, any derogation must be expressly agreed to in advance in writing.
1. Payment Terms
Payment terms are as defined in the Sales Order (SO). In the absence of a specific agreement, invoices are payable within 21 working days. For any payments remaining outstanding after the due date, EMPIRE TEKNOLOGY reserves the right to apply a fixed interest charge of 10% on the overdue balance. Furthermore, EMPIRE TEKNOLOGY is authorized to suspend all services without prior notice in the event of late payment..
2. Debt Recovery
If a payment is still outstanding more than sixty (60) days after the due payment date, EMPIRE TEKNOLOGY reserves the right to call on the services of a debt recovery company. All legal expenses, including attorney fees and collection costs, will be payable by the client.
3. Taxes and Withholding
Any withholding at source required by local legislation shall be paid by the client to the relevant tax authorities. Under no circumstances can EMPIRE TEKNOLOGY be held liable for costs related to a country's specific tax legislation. The invoice amount is due in its entirety and does not include any local costs or taxes applicable in the client's jurisdiction.
4. Warranty and Guarantees
All materials and products supplied are covered exclusively by the warranty or guarantee provided by the Original Equipment Manufacturer (OEM). EMPIRE TEKNOLOGY does not provide any additional express or implied warranties beyond those offered by the OEM.
5. Limitation of Liability and IndemnityEMPIRE TEKNOLOGY undertakes to supply performant services in accordance with agreed timeframes; however, its obligations are limited to a "best effort" basis and do not constitute an obligation to achieve specific results. To the maximum extent permitted by law, the client agrees to indemnify and hold EMPIRE TEKNOLOGY harmless against any claims, damages, or legal actions filed by third parties or end consumers.
6. Claims
To be admissible, EMPIRE TEKNOLOGY must be notified of any claim via recorded delivery letter sent to its registered office within 8 days of the delivery of goods or provision of services.
7. Governing Law and Jurisdiction
All contractual relations are governed exclusively by Indian law. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts located in Mahesana, Gujarat, India.
